Confirmation Statement and Annual Accounts

Every UK company has two fundamental annual obligations with Companies House: the Confirmation Statement and the Annual Accounts. Meeting these on time is essential to keep your company active and in good standing.

Confirmation Statement (CS01)

The Confirmation Statement is an annual declaration that confirms your company’s information held at Companies House remains correct: directors, PSC, registered address, share capital and business activity. It is not a financial statement — it simply confirms or updates your company’s corporate data.

  • Frequency: once a year
  • Deadline: within 14 days following your company’s anniversary date
  • What happens if you don’t file: Companies House may consider your company non-compliant and begin strike-off proceedings

Annual Accounts

Annual Accounts are your company’s yearly financial statements. They reflect its financial position and must be filed with Companies House (and serve as the basis for Corporation Tax with HMRC).

  • Frequency: once a year
  • Deadline: typically 9 months after your accounting period closes
  • First filing: 21 months after your incorporation date
